GENERAL SALES TERMS OF GROOM

1. PURPOSE

The present General Sales Terms (GST) aim to define the conditions under which the company Lumacall, SAS with a capital of €999, registered with the Paris RCS under number 945 089 423, whose registered office is located at 8 B Rue Abel, 75012 Paris, (hereinafter referred to as the "Company"), provides the services of its sub-brand Groom to professional clients (hereinafter referred to as the "Client").



2. SERVICES OFFERED

The Company provides, via the Groom platform accessible at https://www.callgroom.com, services intended to automate and optimize the management of professional calls. These services include in particular:

access to the Groom web platform and its management interfaces;

the configuration and deployment of intelligent voice agents for receiving or making calls;

access to pre-trained or customized artificial intelligence models;

secure hosting of data, history, and logs of phone interactions.



3. CONDITIONS OF ACCESS AND USE

Access to the services requires the creation of a Client account and unconditional acceptance of the GST and GCU available online on the Platform.

The Client must have technical means compatible with the Platform's prerequisites (stable internet connection, computer equipment, up-to-date browser, etc.).



4. PRICES AND PAYMENT TERMS

The services are offered according to a prepaid system operating by usage credits.

The applicable rates can be consulted at: https://www.callgroom.com/tarifs.

Key conditions:

The Client must maintain a positive balance to continue using the services;

An insufficient balance results in the automatic suspension of ongoing calls and campaigns;

Automatic recharging can be activated at the Client's request;

An invoice is issued for each payment;

Prices are expressed in euros excluding tax (HT).

The Company reserves the right to adjust its prices at any time, subject to reasonable prior notice communicated electronically.



5. DURATION – TERMINATION

The present GST apply for the entire duration of the use of Groom services.

The Client may terminate their account at any time from their personal space or by written request.

In the event of a serious breach by the Client of their contractual obligations, the Company may suspend or terminate access to the services with immediate effect, without compensation.



6. CLIENT OBLIGATIONS

The Client agrees to:

use the services in accordance with the applicable legislation (GDPR, Electronic Communications Code, Bloctel, etc.);

provide accurate and up-to-date information;

maintain the confidentiality of their identifiers and access codes;

not divert the Platform from its intended use;

respect the applicable GCU.

The Client is solely responsible for:

the data and content broadcast via their voice agents;

compliance with the legal obligations applicable to their calls;

the consequences of their phone campaigns and interactions generated by the agents.



7. LIABILITY

The Company is only bound by an obligation of means.

It cannot be held responsible for:

an improper or fraudulent use of the Platform;

interruptions related to the internet network, hosting, or the Client's infrastructure;

errors, behaviors, or automated decisions of the generated voice agents;

indirect damages (loss of data, revenue, etc.).

The Client indemnifies the Company against any claims or actions from a third party related to the use of the services.



8. INTELLECTUAL PROPERTY

All elements (software, algorithms, content, models, design, databases, interfaces, APIs, etc.) made available in the context of the services remain the exclusive property of the Company Lumacall.

The Client benefits from a personal, non-exclusive, and non-transferable right of use for the duration of the contract.

Any reproduction, modification, resale, or dissemination without prior authorization is prohibited.



9. PERSONAL DATA

The data processing carried out in the context of Groom services is governed by:

the General Terms of Use (GCU);

the Privacy Policy available at https://www.callgroom.com/confidentialite;

and, where applicable, a Data Processing Agreement (DPA) concluded with the Client when Groom acts as a subcontractor.



10. CONFIDENTIALITY

Each Party agrees to keep confidential all information, documents, or data exchanged in the context of this contract, except with the other Party's written consent or legal obligation.

This obligation lasts for three (3) years after the end of the contractual relationship.



11. FORCE MAJEURE

The Company cannot be held responsible for the non-execution of its obligations in the event of force majeure as defined in Article 1218 of the Civil Code, particularly in the case of a major network failure, natural disaster, fire, strike, war, or any other event beyond its reasonable control.



12. APPLICABLE LAW – COMPETENT JURISDICTION

The present GST are governed by French law.

Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the Paris courts, unless otherwise provided by mandatory legal provisions.



13. MODIFICATIONS

The Company reserves the right to modify the present GST at any time.

The applicable version is the one in effect at the date of use of the services or, where applicable, at the signing of a specific quote or contract.

Any substantial modification will be notified to the Client by e-mail or via the Platform.
